"The shares are controlled by a group within the meaning of section 15 (II) (b) SESTA-FBC, composed of Mr. Klaus J. Jacobs and Mr. Philippe Foriel-Destezet. Mr. Jacobs has the power to vote and dispose of a certain number of shares held for the benefit of members of Mr. Jacobs' family." "Jacobs AG and Akila SA entered into a new shareholders agreement that replaces the original agreement of 1996. The revised agreement substantially retains the voting arrangements, the call options and the right of first refusal and rights of inclusion contained in the early agreement. The shares held in the name of Jacobs AG for the benefit of Mr. Klaus J. Jacobs' children are being excluded from the scope of this shareholders agreement."
