Formation of a group of shareholders with Transocean Ltd. (Turmstrasse 30, CH-6300 Zug, Switzerland) and Transocean Inc. (70 Harbour Drive, Georg Town, Grand Cayman, KY1-1003 Cayman) as a result of the execution of a Standstill and Nomination Agreement dated November 10, 2013, as disclosed separately in a disclosure notification dated November 14, 2013. The companies controlled by Mr. Carl Icahn specified above are reporting their shareholdings jointly with the other members of such group of shareholders (the aggregate number of shares disclosed by such group is 34,706,208, corresponding to 9.28% of the voting rights). The aggregate number of shares held by the companies controlled by Mr. Carl Icahn (including the shares held by Gail Golden) continue to be 21,482,900 (corresponding to 5.75% of the voting rights). Hopper Investments LLC, a limited liability company organized under the laws of the state of Delaware ("Hopper"), is the general partner of High River Limited Partnership, a limited partnership organized under the laws of the state of Delaware. Barberry Corp., a corporation organized under the laws of the state of Delaware ("Barberry"), is the sole member of Hopper. Mr. Carl C. Icahn is the sole shareholder of Barberry. Icahn Onshore LP, a limited partnership organized under the laws of the state of Delaware ("Icahn Onshore"), is the general partner of Icahn Partners LP, a limited partnership organized under the laws of the state of Delaware. Icahn Capital LP, a limited partnership organized under the laws of the state of Delaware ("Icahn Capital"), is the general partner of Icahn Onshore. Icahn Offshore LP, a limited partnership organized under the laws of the state of Delaware ("Icahn Offshore"), is the general partner of Icahn Partners Master Fund LP, Icahn Partners Master Fund II L.P. and Icahn Partners Master Fund III L.P., each such fund a limited partnership organized under the laws of the state of Delaware. Icahn Capital is the general partner of Icahn Offshore. IPH GP LLC, a limited liability company organized under the laws of the state of Delaware ("IPH"), is the general partner of Icahn Capital. Icahn Enterprises Holdings L.P., a limited partnership organized under the laws of the state of Delaware ("Icahn Enterprises Holdings"), is the sole member of IPH. Icahn Enterprises G.P. Inc., a corporation organized under the laws of the state of Delaware ("Icahn Enterprises GP"), is the general partner of Icahn Enterprises Holdings. Icahn Enterprises GP is also the general partner of Icahn Enterprises LP, a limited partnership organized under the laws of the state of Delaware ("Icahn Enterprises"). Icahn Enterprises is the sole limited partner of Icahn Enterprises Holdings. Beckton Corp., a corporation organized under the laws of the state of Delaware ("Beckton"), is the sole stockholder of Icahn Enterprises GP. Mr. Carl C. Icahn is the sole stockholder of Beckton. In addition, Mr. Icahn is the indirect holder of approximately 89.4% of the outstanding depository units representing limited partnership interests in Icahn Enterprises. The principal business addresses of each of Hopper, Barberry, Icahn Offshore, Icahn Onshore, Icahn Capital, IPH, Icahn Enterprises Holdings, Icahn Enterprises GP, Icahn Enterprises and Beckton is White Plains Plaza, 445 Hamilton Avenue Suite 1210, White Plains, NY 10601. Gail Golden, a citizen of the United States, is the spouse of Mr. Carl Icahn. The place of residence of Ms. Golden is c/o Icahn Associates Corp., 767 Fifth Avenue, 47th Floor, New York, NY 10153. Ms. Golden holds 5,000 shares of Transocean Ltd. Ms. Golden owns no other securities of Transocean Ltd. Mr. Icahn, by virtue of his relationship to Ms. Golden, may be deemed to indirectly own, or to have indirectly acquired, these shares. Mr. Icahn disclaims any ownership or acquisition of these shares.
