Addition of Managed Account Vehicle to group, upon its acquisition of shares of the Company. The shares/financial instruments in Castle Private Equity AG that are owned by the group are directly owned by the following entities: (i) Ironsides Partners Opportunity Master Fund L.P., a Cayman Islands limited partnership ("Opportunity Fund")and (ii) Ironsides Partners Special Situations Master Fund L.P., a Cayman Islans limited partnership ("Special Situations Fund" and collectively, with the Opportunity Fund, "Ironsides Funds") and Lepercq-Amcur, SICAV-FIS, a societe anonyme a capital variable - fonds d'investissement specialise, under the laws of Grand Duchy of Luxembourg (the "Managed Account Vehicle" and together with the Ironsides Funds, the "Group Entities"). The principal place of business of the Ironsides Funds is 100 Summer Street, Suite 2705, Boston, MA 02110, USA. The principal place of business of the Managed Account Vehicle is 58, Rue Charles Martel, L-2134 Luxembourg, Grand Duchy of Luxembourg. The investment manager of (i) the Ironsides Funds and (2) the account of the Managed Account Vehicle that holds an interest in the Company, is Ironsides Partners LLC (the "Manager") a Delaware limited liability company. RCK Holdings LLC, a Delaware limited liability company, is the managing member of the Manager. Robert Knapp is the managing member of RCK Holdings LLC and, in such capacity, Robert Knapp controls the Manager and RCK Holdings LLC. The principal place of business of the Manager is 100 Summer Street, Suite 2705, Boston, MA 02110, USA. Pursuant to an investment management agreement between each of the Ironsides Funds and the Manager, and between the advisor to the Managed Account Vehicle and the Manager, the Manager makes all investment decisions and exercises all voting rights on behalf of each of the Group Entities with respect to their interests in the Company.
