USIGH Limited, a wholly owned subsidiary of USI, has issued CHF 42,040,000 of 6.25% guaranteed secured convertible notes due 31 March 2019 which convert into registered shares of USI at a conversion price of CHF 15.5 (ISIN: XS0493478555). Assuming all of these notes convert, USI will be obliged to issue 2,712,258 registered shares of USI. USIGH Limited holds CHF 22,115,800 of the notes for its own account. USIGH Limited is a wholly owned subsidiary of USI Group Holdings AG ("USI").
