Granting of option to receive shares of CHF 0.10 nominal value following an upcoming split and listing of the currently unlisted shares of CHF 1.00 nominal value up to a value of USD 23,000,000 in connection with a share deal and outstanding payment obligations thereunder, subject to certain conditions. Until 30 November 2022, the exercise price is the opening price of the newly listed shares on the day of the listing minus 10%. From 01 December 2022 until 31 March 2023, the exercise price is the 30 days volume weighted average price (VWAP) of the shares of the day before the exercise notice. The option refers to an estimated maximum number of 27,299,871 shares post-split (6.47% of the total of 421,624,443 shares at CHF 0.10 nominal value post-split; 60.5% if calculated pre-split based on the number of shares currently published in the commercial register).
