We refer to the disclosures of shareholdings in Züblin Immobiline Holding AG ("Züblin"), dated 10 October 2006 and 1 October 2008 and notify you of the changes described in this letter. The changes should be read in the context of the original disclosure. In November 2009, Forum European Realty Income L.P., c/o Walkers SPV Limited, Walker House, 87 Mary Street, George Town, Grand Cayman, KY1-9002, Cayman Islands ("Forum") (formerly: Forum European Realty Income L.P., 22 Grenville Street, St. Helier, Jersey, JE48PX) has converted its CHF 28 million face amount of Züblin's outstanding 6.25% mandatory convertible bond due 2009 into 2,959,824 shares (the "Conversion"). These shares represent 4.96% of the total of 59,724,486 outstanding voting rights, as set forth in the current inscription in the commercial register. As a result of this Conversion, Forum holds a total of 4,587,410 shares, corresponding to 7.68% of Züblin's voting rights pursuant to the current inscription in the commercial register of 59,724,486 shares. In addition, we would like to notify you that Forum has undertaken, with effect as from the Conversion, to vote these shares in accordance with the shares held by the group consisting of Westblaak Ventures B.V., with its register seat in Amsterdam and its office at Groen van Prinstererlaan 37, 3818 JN Amersfoort, the Netherlands ("Westblaak"), and Bruin I S.à.r.l., 13-15 Avenue de la Libertè, L-1931 Luxembourg ("Bruin") disclosed with the disclosure notice of 10 October 2006. As a result of this undertaking, Forum forms for disclosure purposes under Swiss law a group with Westblaak and Bruin. This group holds a total of 16,204,327 shares in Züblin, which corresponds to 27.13% of Züblin's voting rights pursuant to the current inscription in the commercial register of 59,724,486 shares. Forum is a Cayman Islands Limited partnership (L.P.) controller by a general partner that is ultimately a subsidiary of Forum Partners Investment Management LLC, Corporation Trust Center, 1209 Orange Street, Wilmington, Deleware, USA, which in turn is owned by Andrew Walker, 117 Piccadilly, London W1J7JU, UK, Russell Platt, 117 Piccadilly, London W1J7JU, UK, and Caroline McBride, 1700 E. L.P. is a limited partnership (L.P.) that is controlled by a general partner that is ultimately a subsidiary of Forum Partners Investment Management LLC, Corporation Trust Center, 1209 Orange Street, Wilmington, Deleware, USA, which in turn is owned by thte shareholders Andrew Walker, 117 Piccadilly, London W1J7JU, UK, Russel Platt, 117 Piccadilly, London W1J7JU, UK, and Caroline McBride, 1700 E. Putnam Ave., Old Greenwich, CT 06870, USA. Westblaak is jointly controlled by Bruin and Artemis Capital Investments Ltd. P.O. Box 3321, Road Town, Tortola, British Virgin Islands, which is in turn controlled by Barron International Holdings Ltd., P.O. Box 472, 50 Town Range, Gibraltar. Barron International Holdings Ltd. is controlled by The Barron Trust, whose trustee is Nerine Trust Company Ltd., P.O. Box 434, Nerine House, St. George's place, St. Peter Port, GY13ZG, Guernsey, was founded in favour of members of the family of Jan G. Bosch. The group notified pursuant to this disclosure notice replaces the groups notified on 10 October 2006 and 1 October 2008.
