MM Asset Management Holding LLC (new to group composition) is now the direct parent of Oppenheimer Acquisition Corp. Oppenheimer International Growths Fund (Two World Financial Center, 225 Liberty Street, New York, NY 10080 U.S.A.) is the beneficial owner of a holding of 2'235'971 bearer shares, representing 3.126% of the voting rights of Temenos Group AG. OppenheimerFunds, Inc. as investment manager of Oppenheimer International Growths Fund exercises voting powers on a discretionary basis in the meaning of Art. 9 para. 2 SESTO-FINMA. The 3.126% holding of Oppenheimer International Growths Fund is included in the total holding reported by MassMutual in the present notification. MassMutual is the ultimate parent company of several subsidiaries, including for purposes of this matter, MassMutual Holdings LLC, MM Asset Management Holding LLC,Oppenheimer Acquisition Corp., OppenheimerFunds, Inc., OFI Trust Company and OFI Institutional Asset Management,Inc. MassMutual Holding LLC is a holding company for certain MassMutual subsidiaries, including MM Asset Management Holding LLC. MM Asset Management Holding LLC is a holding company for certain MassMutual subsidiaries, including Oppenheimer Acquisition Corp. Oppenheimer Acquisition Corp is the holding company for certain MassMutual subsidiaries, including OppenheimerFunds, Inc. OppenheimerFunds, Inc. is the direct parent company of OFI Institutional Asset Management, Inc. OFI Institutional Asset Management, Inc.is the direct parent company of OFI Trust Company. OppenheimerFunds, Inc., OFI Trust Company (based on delegation to its parent, OFI Institutional Asset Management, Inc.) and OFI Institutional Asset Management Inc. are investment managers that independently exercise their respective voting powers on behalf of the clients and investment funds whose assets they are managing.
