Dissolution per April 12, 2012 of Voting Agreement dated April 10, 2012 On 10 April 2012, the board of directors of Castle Private Equity AG has reached an agreement with the shareholder group led by Abrams Capital over the board composition of Castle Private Equity AG. After the annual general meeting of Castle Private Equity AG (the "AGM") which took place on 12 April 2012, the organised group with respect to the board composition in connection with the AGM dated 12 April 2012 has been dissolved. The shares in Castle Private Equity AG of David C. Abrams are directly owned by the following entities: (i) Abrams Capital Partners I, L.P., a Delaware limited partnership; (ii) Abrams Capital Partners II, L.P., a Delaware limited partnership; (iii) Whitecrest Partners LP, a Delaware limited partnership; and (iv) Great Hollow International L.P., a Cayman Islands limited partnership (each of the entities referenced in clauses (i) through (iv) above, an "Abrams Fund"; collectively, the "Abrams Funds"). The principal place of business of each Abrams Fund is 222 Berkeley Street, 22nd Floor, Boston, MA 02116, USA. The investment manager of each Abrams Fund is Abrams Capital Management, L.P. ("Abrams LP"). The general partner of Abrams LP is Abrams Capital Management, LLC ("Abrams LLC"), a Delaware limited liability company. David Abrams is the managing member of Abrams LLC and, in such capacity, Mr. Abrams controls Abrams LLC. The principal place of business of Abrams LP and Abrams LLC is 222 Berkeley Street, 22nd Floor, Boston, MA 02116, USA. Pursuant to an investment management agreement between each Abrams Fund and Abrams LP, Abrams LP makes all investment decisions and exercises all voting rights on behalf of the Abrams Funds. The shares in Castle Private Equity AG of Robert Knapp are directly owned by Ironsides Partners Opportunity Master Fund L.P., a Cayman Islands limited partnership ("Ironsides"). The principal place of business of Ironsides is 100 Summer Street, Suite 2705, Boston, MA 02110, USA. The investment manager of Ironsides is Ironsides Partners LLC, a Delaware limited liability company. RCK Holdings LLC, a Delaware limited liability company, is the managing member of Ironsides Partners LLC. Robert Knapp is the managing member of RCK Holdings LLC and, in such capacity, Mr. Knapp controls Ironsides Partners LLC and RCK Holdings LLC. The principal place of business of Ironsides Partners LLC is 100 Summer Street, Suite 2705, Boston, MA 02110, USA. Pursuant to an investment management agreement between Ironsides and Ironsides Partners LLC, Ironsides Partners LLC makes all investment decisions and exercises all voting rights on behalf of Ironsides.
