Acquisition of 3'237'774 shares of Acino Holding AG (representing 93.58% of the voting rights and capital) tendered to the offeror under the tender offer dated October 4, 2013. In addition, the offeror acquired additional 21'562 shares of Acino Holding AG (respresenting 0.62% of the voting rights and share capital) after the expiration of the additional offer period (Nachfrist) on December 6 and December 9, 2013. The direct buyer of Acino Holding AG is Pharma Strategy Partners GmbH ( Pharma Strategy Partners ) c/o Bernhard Simonetti, Hauptstrasse 47, 4153 Reinach, Switzerland. The relationship between Pharma Strategy Partners and its beneficial owners and the full structure by which control is exercised is as follows: All shares of Pharma Strategy Partners are owned by Thirteen Juniper S.à r.l., which is a wholly- owned subsidiary of Acrobat Holding Two S.à r.l., which in turn is a wholly-owned subsidiary of Acrobat Holding One S.à r.l., which in turn is a wholly-owned subsidiary of Acrobat Holding Jersey Limited ( Jerseyco ). The ownership and control structure of Jerseyco is as follows: Jerseyco is jointly wholly owned by (1) ACP Holdco (Offshore), L.P., ACP III AIV, LP and ACP Acrobat Co-invest L.P., (together, the "Avista Vehicles"); (2) Acrobat Jersey Limited ("Nordic Jerseyco"); and (3) Håkan Björklund, Runar Bjørklund, Charles Depasse and Kerstin Valinder. The Avista Vehicles are managed by their respective general partner ACP III AIV GP, Ltd. ACP III AIV GP, Ltd. is owned by 11 individuals who are Avista professionals, none of whom holds more than 10% of the shares in ACP III AIV GP, Ltd. or is bound by an agreement or similar agreement with respect to the exercise of its voting rights. Nordic Jerseyco is collectively owned by Nordic Capital Fund VII, comprising Nordic Capital VII Alpha, L.P., Nordic Capital VII Beta, L.P (together, "Nordic Partnerships"), SP Co-Invest Limited, NC VII Limited (together, the "Nordic Co-Investors") and N8 Co-Investment L.P. The Nordic Partnerships are each managed by their respective general partner, Nordic Capital VII Limited. Nordic Capital VII Limited is responsible for taking all investment and divestment decisions on behalf of the Nordic Co-Investors and the Nordic Co-Investors are contractually bound to act in accordance with such decisions. Nordic Capital VII Limited is owned by NC VII Limited which is directly and indirectly owned by in excess of 50 shareholders, none of whom holds more than 15% of the shares in NC VII Limited or is bound by an agreement or similar arrangement with respect to the exercise of its voting rights. N8 Co-Investment L.P. is managed by its general partner N8 Co-Investment GP Limited. N8 Co-Investment GP Limited is indirectly owned by in excess of 50 shareholders, none of whom holds more than 15% of the shares in N8 Co-Investment GP Limited or is bound by an agreement or similar arrangement with respect to the exercise of its voting rights.
