Each of Purple Green Investment Pte. Ltd., Qatar Holding LLC and Kinder Investments Pte. Ltd. has individually entered into a commitment, subject to conditions, to subscribe to shares in an intended capital increase of Dufry AG for which shareholders do not exercise subscription rights, each for a maximum investment amount of CHF 450 million. In doing so, each of Purple Green Investment Pte. Ltd., Qatar Holding LLC and Kinder Investments Pte. Ltd. has individually entered into a lock-up undertaking with Dufry AG (on 27 or 30 March 2015, respectively), resulting in an obligation to disclose their purchase positions on an aggregated basis under the practice described in Disclosure Office Notice 1/09 (section 5.1) ("lock-up group"). The lock-up undertakings will expire 180 days after the first trading day of the shares created in the capital increase of Dufry AG (expected to be 25 June 2015). There is no acting in concert among the three named investors beyond the existence of such parallel lock-up undertakings towards the issuer. The disclosed total percentage of voting rights and number of shares is calculated on the basis of the three investors' combined maximum committed investment amounts and the minimum price per share (as adjusted) at which each of them has committed to acquire shares. The disclosed total percentage of voting rights is further expressed on the basis of the total number of Dufry AG shares currently registered in the Commercial Register of Basel-Stadt (pre-capital increase) (as required by art. 12 para. 2 SESTO-FINMA). As a consequence, the percentage of voting rights that each of the investors will hold in Dufry AG after the consummation of its capital increase, as a consequence of its commitment to invest, will necessarily be lower than one third of the combined percentage figure disclosed in this notification. On 2 June 2015, an upward adjustment was made by Dufry AG to the minimum price per share at which each of the investors has committed to acquire shares, resulting in a reduced maximum combined number of shares to be acquired.
