On 4 May 2016, Newbury Holdings A Ltd ("Newbury Holdings") entered into a sale and purchase agreement with GP Swiss Ltd ("GPS") under the terms of which Newbury Holdings agreed to sell its shares in Spice Private Equity Ltd to GPS. It is contemplated that the sale and purchase of the Spice Private Equity Ltd shares will be completed on 29 June 2016. At the annual general meeting of Spice Private Equity Ltd that is expected to take place on 28 June 2016, Newbury Holdings will allow GPS to vote the shares that it holds in Spice Private Equity Ltd at GPS's discretion. The shareholders agreement that is the basis for the disclosure of the positions held by Newbury Holdings and GPS as a group will terminate upon completion to the sale and purchase referred to above.
