On 1 April 2019, immediately prior to the publication of the pre-announcement, DSV A/S (DSV) and Panalpina Welttransport (Holding) AG (Panalpina) concluded a transaction agreement regarding a public exchange offer of DSV for all publicly held shares of Panalpina. The same day, DSV also concluded three separate tender agreements with the three largest shareholders of Panalpina, in which the shareholders undertake to tender all Panalpina shares held by them into the exchange offer. The settlement of the exchange offer is expected in Q4 2019.
