Pursuant to the binding term sheet between Relief Therapeutics Holding AG ("RLF") and APR Applied Pharma Research s.a. ("APR") respectively its shareholders, RLF committed to acquire all shares of APR in exchange for certain cash payments plus up to CHF 62.5 million total of Relief common registered shares (including possible future contingent milestones). RLF's corresponding sale position is calculated based on the 10 days VWAP prior to the closing date respectively 30 April 2021 (CHF 0.2194), and on the committed aggregate share consideration value (CHF 62.5 million), thus resulting in a maximum of 284,818,652 RLF common registered shares as of 30 April 2021. However, the exact number of Relief consideration shares will be determined as of the closing of the transaction and cannot be exactly established at present.
