In connection with the purchase of S.R.I.F. NV (the Asco Group) by a subsidiary of Montana Aerospace AG (MTA) under the SPA, MTA has, subject to certain conditions, agreed to perform a capital increase at best efforts and Montana Tech Components AG (MTC), as part of the IPO lock-up group, has agreed to subscribe a maximum of 5,431,500 ordinary shares. Should such capital increase not occur, MTA would perform a capital increase in which the sellers of the Asco Group will receive a maximum of 6.8 million ordinary shares as part of the consideration under the SPA. Therefore, the maximum sales position of MTA under the SPA amounts to 6.8 million shares. The price per share is yet to be determined under certain conditions at closing of the SPA. In each case, a capital increase would occur after November 12, 2021 and until the closing of the acquisition but no later than December 31, 2022.
