In connection with the sale by the notifying beneficial owners (Sellers) of S.R.I.F. NV (the Asco Group) to a subsidiary of Montana Aerospace AG (MTA) under that certain share purchase agreement (SPA), MTA has, subject to certain conditions, agreed to perform a capital increase at best efforts and Montana Tech Components AG has agreed to subscribe up to a maximum of 5,431,500 ordinary shares of MTA in such capital increase. As an alternative to such capital increase, the Sellers of the Asco Group accepted, subject to certain conditions, to be paid partly in ordinary shares of MTA in a capital increase of MTA in which the Sellers would receive up to a maximum of 6,738,327 ordinary shares as part of the consideration under the SPA. The definitive price per share is yet to be determined under certain conditions at closing of the SPA. In each case, a capital increase would occur after November 12, 2021 and until the closing of the SPA but no later than December 31, 2022.
