Forfeiture of certain granted RSUs resulting in total sale position to fall below 5%: In 2019 EFG International launched a one-time long-term incentive plan (LTIP) for certain senior managers. As performance thresholds defined in the LTIP were not achieved, all RSUs granted under the LTIP forfeited. BTGP-BSI Limited and Banco BTG Pactual S.A.(collectively referred as BTG). Type of understanding (Part 2): Pursuant to the Escrow Agreement, the Escrow Agent is obliged to exercise the voting rights pertaining to the Escrow Shares in accordance with the instructions of UK Holdco. The Escrow Shares were due to be released to UK Holdco on or around October 31, 2018 (the "Release Date") provided that no claims under the SPA were pending by that date. To the extent to which claims were pending at the Release Date, the Escrow Shares, that are not serving as security for the then pending claims were to be released and the portion of the Escrow Shares that served as security for the then pending claims, are to remain in escrow and will only be released after the pending claims have been resolved. Currently, 29,028,372 EFGI shares are in escrow.
