Each of the above holders of registered shares, par value CHF 0.25 each (Class A Shares, i.e., privileged voting stock), has entered into an agreement with WISeKey International Holding Ltd, according to which such shareholder has made the undertaking not to sell or otherwise dispose of the Class A Shares. However, each of the above shareholders has the right to request that at WISeKey International Holdings Ltd's Annual General Meeting an item be included on the agenda according to which Class A Shares be, at the discretion of each Class A Shareholder, converted into registered shares, par value CHF 2.50 (Class B Shares, i.e., common stock), which are not subject to the agreed transfer restrictions. WISeKey International Holding Ltd's registered shares, par value CHF 2.50 each (Class B Shares, common shares) held by a member of the group are not affected by these separate agreements. Class B Shares held by a group member are disclosed separately if an applicable threshold under the Financial Markets Infrastructure Act and its implementing ordinances is reached or exceeded.
