On 16 August 2023, Tyco Electronics (Schweiz) Holding II GmbH (TEL), an indirect 100% subsidiary of TE Connectivity Ltd., and Schaffner Holding AG (Schaffner) concluded a transaction agreement regarding a public tender offer of TEL for all publicly held shares of Schaffner. The same day, TEL also concluded a separate tender agreement with Buru Holding AG and Philipp Buhofer in which such shareholders undertake to tender certain Schaffner shares held by them into the public tender offer. On 14 June 2023, the board of directors of Schaffner decided to allocate a total of 2'455 shares to certain employees and board members under the Long Term Incentive Plan, 2'053 shares for FY 2022/2023 (transfer expected to take place in Q1 2024) and 402 shares for Q1 of FY 2023/2024 (transfer expected to take place in Q1 2025). These shares have been deducted from the total holding of equity securities held by the shareholder group (see Part 4 of this notification). The settlement of the public tender offer is expected in Q4 2023.
