On 15 February 2024, after close of trading, Constantia Flexibles GmbH ("Offeror") and Aluflexpack AG ("AFP") concluded a Transaction Agreement regarding a public tender offer for all publicly held shares of AFP. On the same day, the Offeror also concluded a share purchase agreement ("SPA") with Montana Tech Components AG and Xoris GmbH under which the latter two agreed to sell 9'803'167 AFP shares held by them (corresponding to 56.67%) to the Offeror and, for the period until closing, among others undertook to vote their shares in favor of the appointment of the individuals proposed by the Offeror as new board members of AFP. The closing of the SPA and the settlement of the public tender offer are expected in Q4 2024.
