D. E. Shaw Valence International, Inc. has entered into a lock-up agreement with Idorsia Ltd ("Idorsia"), Idorsia Pharmaceuticals Ltd and certain holders of Idorsia convertible bonds 2025 (ISIN CH0426820350) (the "CB2025") and/or Idorsia convertible bonds 2028 (ISIN CH1128004079) (the "CB2028") dated 25 February 2025 (the "Lock-Up Agreement") and is thus a member of the lock-up group initially disclosed on 3 March 2025. The purchase positions included in this disclosure notification includes only the positions held by D. E. Shaw Valence International, Inc. (alongside other purchase positions held by D. E. Shaw Valence International, Inc., D. E. Shaw Valence Investments (Cayman) Limited, and D. E. Shaw Oculus International, Inc.) that are not locked under the Lock-Up Agreement and, hence, are not covered by the lock-up group disclosure. Under the Lock-Up Agreement and a backstop letter agreement with Idorsia Ltd, Idorsia Pharmaceuticals Ltd and certain holders of CB2025 and/or CB2028, dated 25 February 2025 and to which D. E. Shaw Valence Investments (Cayman) Limited is a party (the "Backstop Letter"; the Backstop Letter together with the Lock-Up Agreement, the "Agreements"), D. E. Shaw Valence International, Inc. and D. E. Shaw Valence Investments (Cayman) Limited collectively hold the rights to receive, as of the date of this disclosure: - 2'379'163 registered shares of Idorsia (the "Shares") as per different conditions and milestone events as defined in the Agreements up until Q3/2025 as arrangement fee and exchange fee. The Shares to be received under the arrangement fee and exchange fee are subject to potential changes before final delivery, pursuant to the Agreements; - 2'219'430 warrants for Shares (with the terms as set forth below, the "Warrant") as per different conditions and milestones events as defined in the Agreements until Q3/2025 as arrangement fee and exchange fee. The Warrants to be received under the arrangement fee and exchange fee are subject to potential changes before final delivery, pursuant to the Agreements.
