Jean-Paul Clozel

As disclosed in the disclosure notification dated March 3, 2025, Jean-Paul Clozel has entered into a lock-up agreement dated February 25, 2025 with, among others, Idorsia Ltd (the "Company"), Idorsia Pharmaceuticals Ltd ("IPL") and certain other bondholders (the "Lock-Up Agreement") and a backstop letter agreement dated February 25, 2025 with the Company, IPL and certain other bondholders (the "Backstop Letter", collectively the "Agreements"), and is thus a member of the lock-up group disclosed as of March 3, 2025. Thus this disclosure notification includes only the positions held by Jean-Paul Clozel, which are not locked under the Lock-Up Agreement and, hence are not covered by the lock-up group disclosure. Following (i) the delivery of the backstop fee shares (600,000 registered shares), (ii) the granting of the backstop fee warrants (533,333 warrant shares) and (iii) the granting of the arrangement fee warrants (633,333 warrant shares) pursuant to the Agreements, as of August 22, 2025, Jean-Paul Clozel holds the following rights under the Lock-Up Agreement: (i) to receive registered shares as per different conditions and milestone events as defined in the Lock-Up Agreement as follows: a) 700,000 registered shares as an arrangement fee; and b) 2,472,268 registered shares as an exchange fee. (ii) to be granted/issued warrants as per different conditions and milestone events as defined in the Lock-Up Agreement that (1) will mature on June 2, 2027, and (2) have an exercise price of CHF 1.50 per warrant share, for 2,472,268 registered shares as an exchange fee. As stated in the disclosure notification dated March 3, 2025, the previous positions regarding (1) the convertible bonds 2025 (ISIN CH0426820350; 0.75 IDORSIA CV 18-25) issued by the Company (the "CB25") and (2) the convertible bonds 2028 (ISIN CH1128004079; 2.125 IDORSIA CV 21-28) issued by the Company (the "CB28"): a) 9,466,667 voting rights with regard to CB25; and b) 5,516,804 voting rights with regard to CB28, are now covered by the separate lock-up group disclosure regarding the lock-up group, as disclosed as of March 3, 2025.
