On 26.02.2026, Pelion S.A. and CEPD N.V. have entered into an agreement that Pelion S.A. will sell to CEPD N.V. all shares in DocMorris AG it holds within 20 business days following the completion of the Annual General Meeting 2026 of DocMorris AG (i.e. by 12 June 2026 the latest, assuming the annual general meeting takes place on 12 May 2026). The settlement date of such sale of shares from Pelion S.A. to CEPD N.V. is not yet agreed, however, such settlement will only occur after the Annual General Meeting 2026 of DocMorris AG. Until settlement of such sale, Pelion S.A. will remain the shareholder of record of such DocMorris AG shares. As both Pelion S.A. and CEPD N.V. are beneficially owned by Jacek Szwajcowski and Zbigniew Molenda, such sale of shares from Pelion S.A. to CEPD N.V. does not result in a change of the beneficial ownership of such shares of DocMorris AG but a change of the persons directly involved in the group. Jacek Szwajcowski and Zbigniew Molenda have notified a separate group of buyers with notice dated 31.05.2025 and have notified the dissolution of such group of buyers with notice published at the date hereof. Such group of buyers was separate from the group arrangement notified hereby and has been notified by separate group notifications, but the positions notified by Jacek Szwajcowski and Zbigniew Molenda in the group notification dated 31.05.2025 are included in this group notification as well.
