Transfers expected between Q1 and Q3 of 2025 Astaris Special Situations Master Fund Limited, acting by its Investment Manager, Astaris Capital Management LLP has entered into a lock-up agreement with Idorsia Ltd ("Idorsia"), Idorsia Pharmaceuticals Ltd and certain holders of Idorsia convertible bonds 2025 (ISIN CH0426820350) (the "CB2025") and/or Idorsia convertible bonds 2028 (ISIN CH1128004079) (the "CB2028") dated 25 February 2025 (the "Lock-Up Agreement") and is thus a member of the lock-up group disclosed on 3 March 2025. Thus this disclosure notification includes only the positions held by Astaris Special Situations Master Fund Limited which are not locked under the Lock-Up Agreement and, hence, are not covered by the lock-up group disclosure. Under the Lock-Up Agreement and a backstop letter agreement with Idorsia Ltd, Idorsia Pharmaceuticals Ltd and certain holders of CB2025 and/or CB2028, dated 25 February 2025 (the "Backstop Letter"; the Backstop Letter together with the Lock-Up Agreement, the "Agreements"), Astaris Special Situations Master Fund Limited holds the rights to receive: - 7,995,054 registered shares of Idorsia (the "Shares") as per different conditions and milestones events as defined in the Agreements up until Q3/2025 as advisor's fee, backstop fee, arrangement fee and exchange fee. 3,946,200 Shares under the advisor fee and the backstop fee are finally allocated, but not delivered. The allocation of Shares under the arrangement fee and exchange fee is made as of 25 February 2025 and is subject to changes before final delivery; - 2,392,394 warrants for Shares (with the terms as set forth below, the "Warrant") as per different conditions and milestones events as defined in the Agreements until Q3/2025 as backstop fee, arrangement fee and exchange fee. 841,067 Warrants for the backstop fee have been finally allocated, but not delivered. The allocation of Warrants for the arrangement fee and exchange fee is made as of 25 February 2025 and is subject to changes before final delivery.
