Tecan Group AG

For tax reasons Tecan Group AG disposed of those positions in its treasury shares that have been built up prior to 2003. Tecan Group AG sold these shares by means of an off-exchange block trade transaction to Credit Suisse. In return Tecan Group AG has received the right to get back the same number of shares on 29 October 2009, unless Credit Suisse exercises its right to keep the shares on 29 October 2009. In this case Credit Suisse will have to compensate Tecan with CHF 80.85 per share. Technically, this transaction is cash neutral as per the Date of the Transaction and occurred in the form of sales and purchases of shares and two mutual call options. Pursuant to article 9 in connection with article 17 of the Ordinance of the Swiss Federal Banking Commission on Stock Exchanges and Securities Trading Act, Tecan Group AG publishes the following disclosure notification regarding Treasury Shares: Shareholder: Tecan Group AG, Seestrasse 103, 8708 Männedorf Transactions - Sale of 418'023 registered (treasury) shares of Tecan Group AG. - Purchase of an OTC Reverse convertible consisting of • the purchase of 418'023 call-options (Long Position); and of • the sale of 418'023 call-options (Short Position). Date of all Transactions: 23 October 2008 Settlement date of all Transactions: 28 October 2008 Total number and type of securities (Long and Short Positions resulting from the Transactions) Long Positions: - 1'075'175 registered (treasury) shares (representing 8.90% of the share capital). - 418'023 physically-settled European style call-options (representing 3.46% of the share capital) for 418'023 registered shares of Tecan Group AG issued by Credit Suisse with a strike price of CHF 0.01. The expiration date is 29 October 2009.
