Esmertec AG acquiring 100 % of the shares of Purple Labs SA, a company in which Simon Wilkinson is an existing shareholder, in exchange for shares in Esmertec AG to be created by a future capital increase; the calculation base of the holding of Esmertec shares is the number of shares registered in the Commercial Registry of the Canton of Zurich, as the capital increase of Esmertec is not realized yet; the share transfer is expected between end of March 09 to mid of April 09;
