Swiss Life AG

Castle Alternative Invest AG (the "Company") has entered into an agreement with Swiss Life AG ("Swiss Life"), pursuant to which it intends, conditional on the approval of the independent shareholders, to effect a reduction of capital and a group restructuring. Under the terms of the agreement Swiss Life has agreed to surrender its entire shareholding of 48.81% in the Company for cancellation, in consideration for the transfer to it of a substantially equivalent percentage shareholding in Castle Alternative Invest (International) plc, the entity through which the substantial majority of the Group s portfolio of investments is held.
