Castle Alternative Invest AG (the "Company") has successfully completed the agreement it entered into with Swiss Life AG ("Swiss Life") that had been approved by the shareholders on 12.10.2010, pursuant to which it, has effected a reduction of capital and a group restructuring. Under the terms of the agreement Swiss Life has surrendered its entire shareholding of 48.81% in the Company for cancellation, in consideration for the transfer to it of a substantially equivalent percentage shareholding in Castle Alternative Invest (International) plc, the entity through which the substantial majority of the Group s portfolio of investments is held. The details of the proposed transaction are described in a circular to the shareholders submitted to and approved by the UK Listing Authority that can be found under http://www.castleai.com/uploads/media/Circular_Restructuring_Proposal_E.pdf Pursuant to the completion of this transaction, with effect from 20 December 2010, Swiss Life no longer holds any shares of the Company and the Company holds 4,040,951 shares representing 20.51% of the total number of issued shares including shares in treasury and pending cancellation ( issued shares ).
