Joint exercise of voting rights The above entities are part of TIAA-CREF, a financial services group and a leading provider of retirement benefits in the USA, offering financial services, including retirement plans, IRAs, variable annuities, mutual funds, brokerage services, life insurance, and college savings plans. TIAA-CREF Investment Managament, LLC ("TCIM") acts as the sole Investment manager for one of the direct shareholders, College Retirements Equities Fund - Stock Account ("CREF"). Teachers Advisors, Inc. ("TAI") acts as sole Investment manager of the other two direct shareholders: (i) the TIAA-CREF Life Funds - International Equity Fund ("TCLF") and (ii) the TIAA-CREF Funds - Internatioinal Equity Fund ("TCF") TCIM is a wholly-owned direct subsidiary of Teachers Insurance and Annuity Associtation of America ("TIAA"). TAI is a wholly-owned indirect direct subsidiary of TIAA. TAI is wholly-owned by an intermediate holding company, TIAA-CREF Enterprises, Inc. ("TCEI"), which in turn is wholly-owned by TIAA. Both Investment managers, TCIM and TAI, exercise exclusive Investment power or Investment discretion over the investment in the shares of Burckahrdt Compression Holding AG. TIAA exercises the voting rights relating to the shares of Burckhardt Compression Holding AG held by the direct shareholders (CREF, TCLF and TCF), pursuant to a global proxy voting policy (TIAA-CREF Policy Statement on Corporate Governance) for investments held by TIAA-CRE-related entities.
