Acceptance of public tender offer of HarbourVest Acquisition GmbH The investment manager of each direct seller is Abrams Capital Management L.P. ("Abrams LP"), a Delaware limited partnership. The general partner of Abrams LP is Abrams Capital Management LLC ("Abrams LLC"), a Delaware limited liability company. David Abrams is the managing menber of Abrams LLC and, in such capacity Mr Abrams controls Abrams LLC. Pursuant to an investment management agreement between each direct seller and Abrams LP, Abrams LP makes all investment decisions and exercises all voting rights on behalf of the direct sellers.
