As disclosed in the Prospectus related to the capital increase of March 2013, 14 million shares were issued to be held as treasury shares by Evolva. These shares are earmarked for two purposes. First, to satisfy a portion of the Company's obligations under the conversion agreement with Ventureast/APIDC. And second for delivery of shares under the Standby Equity Distribution Agreement (SEDA) with YA Global. Since then, several transactions under these agreements have taken place, causing a drop of the holding of treasury shares below 3%, prompting this disclosure.
