Termination of Lock-up and Coordinated Sale Agreement dated 13 December 2010 and amended on 17 May 2011. As a result of the foregoing, the lock-up group disclosed on 14 July 2011 (and published on 15 July 2011) was dissolved and 13'387'861 registered common shares in Evolva Holding SA (the Lock-up Shares) were transferred from the lock-up securities account to the securities account of the common representative named under Section I.3 above. As a consequence of the transfer of the Lock-up Shares, the persons listed under Section I.2 above, respectively their common representative named under Section I.3 above, hold the positions detailed under Section II hereunder. Abunda SR, LLC, aims, amongst others, at representing its members (the individual group members) and facilitating the acquisition by the individual group members of the financial instruments and, at the conversion of the financial instruments, shares in Evolva Holding SA. Abunda SR, LLC, is managed by a board of managers that is appointed by the group members. The management board will, amongst others, exercise the voting rights of the shares in Evolva Holding SA once the financial instruments have been converted.
