MassMutual is the ultimate parent company of several subsidiaries, including for purposes of this matter, MassMutual Holding LLC, MM Asset Management Holding LLC, Oppenheimer Acquisition Corp., OppenheimerFunds, Inc., OFI Trust Company, and OFI Institutional Asset Management, Inc. MassMutual Holding LLC is a holding company for certain MassMutual subsidiaries, including MM Asset Management. MM Asset Management Holding LLC is a holding company for certain MassMutual subsidiaries, including Oppenheimer Acquisition Corp. Oppenheimer Acquisition Corp. is the holding company for certain MassMutual subsidiaries, and is the direct parent of OppenheimerFunds, Inc. Oppenheimer Funds, Inc. is the direct parent company of OFI Institutional Asset Management, Inc. OFI Institutional Asset Management is the direct parent of OFI Trust Company. OppenheimerFunds, Inc., OFI Trust Company (based on delegation to its parent, OFI Institutional Asset Management, Inc.) and OFI Institutional Asset Management, Inc. are investment managers that independently exercise their respective voting power on behalf of the investment funds / account holders whose assets they are managing (Art. 9 para. 2 SESTO-FINMA) Among the shares reported in the Annex, 71'151 shares (representing 7.2752%) are beneficially owned by Oppenheimer International Growth Fund (which is managed by OppenheimerFunds, Inc.)
