Anne-Marie Louise Latsis, Geneva Switzerland iii. Marguerite Latsis-Catsiapis, Geneva Switzerland iv. Three family branch trusts, Bermuda v. Banque de Dépôts 2 Trust, Bermuda Regarding iv. Three family branch trusts, each in Bermuda: the three trusts correspond to the family branch of each of the group members i. to iii.; the beneficiaries of these trusts are in each case the relevant group members i. to iii. and his or her issue; the trustee of these trusts is Mutual Convergence Trustees Limited, Bermuda; the protector of these trusts is the group member i.; the appointor of these trusts is a corporate appointor in which the group members i. to iii. have a membership; Regarding v. Banque de Dépôts 2 Trust, Bermuda: the beneficiaries of this trust are issue of the group members i. and ii.; the trustee is Mutual Convergence Trustees Limited, Bermuda; the protector of the trust is the group member i.; the appointor of the trust is a corporate appointor in which the group members i. to iii. have a membership. The group members iv. and v. are indirectly holding 100% of the shares in EFG Bank European Financial Group SA, Geneva, Switzerland, through the trustee Mutual Convergence Trustees Limited, Bermuda and a chain of three intermediary companies as follows: European Financial Group EFG (Luxembourg) SA, a holding Company incorporated in Luxembourg, holds directly 100% of the shares in EFG Bank European Financial Group SA; EFG European Financial Group Limited, a Maltese Company, holds 100% of the shares in European Financial Group EFG (Luxembourg) SA; Private Financial Holdings Limited, a Bermudian Company, holds 100% of the shares in EFG European Financial Group Limited; the group members iv. each hold 20% of the shares in Private Financial Holdings Limited and the group member v. holds 40% of the shares in Private Financial Holdings Limited. EFG Bank European Financial Group SA (see above) holds directly 78'599'780 and indirectly through its wholly-owned subsidiary EFG Investment (Guernsey) Ltd. 3'945'337 (in total: 82'545'117) registered shares in EFG International AG. EFG International AG holds through two wholly-owned subsidiaries 319'884 shares in EFG International AG as treasury shares. The relevant subsidiaries are EFG Finance (Jersey) Limited, St Helier, Jersey, holding 267'774 shares in EFG International AG and EFG Private Bank Limited, London, United Kingdom, holding 52'110 shares in EFG International AG. In addition, EFG International AG has an Employee Stock Option Plan under which each year, starting in 2006, options were allocated to employees which give them the right to buy shares in EFG International AG according to certain terms and conditions outlined below. Currently, there is a total of 10'231'701 options outstanding.
