Abunda SR, LLC. has pre-committed to invest in the capital increase announced by Evolva on 6 March 2013. The reported size of the shareholding of Abunda SR, LLC. reflects its current investment plus the maximum number of Shares attributable to their Take-up Commitment. The purchase position for up to 12 million Evolva shares, that was awarded to Abunda SR, LLC. based on the earn-out agreement of July 2011, expired in February 2013. Abunda SR, LLC, aims, amongst others, at representing its members (the individual group members) and facilitating the acquisition by the individual group members of the financial instruments and, at the conversion of the financial instruments, shares in Evolva Holding SA. Abunda SR, LLC, is managed by a board of managers that is appointed by the group members. The management board will, amongst others, exercise the voting rights of the shares in Evolva Holding SA once the financial instruments have been converted.
