Signing of the Fortress Subscription and Purchase Agreement between Drawbridge Special Opportunities Fund LP and APEN AG which is subject to certain customary conditions and according to which: (A) Drawbridge Special Opportunities Fund LP shall acquire 717'266 shares iin APEN AG of which 521'451 shares shall be issued to Drawbridge Special Opportunites Fund LP out of APEN AG's existing authorized capital ("New Shares") and 195'815 shares shall be sold from APEN AG to Drawbridge Special Opportunities Fund LP; (B) Drawbridge Special Opportunities Fund LP shall have the right to sell to APEN AG, subject to certain conditions, all or part of the shares acquired under the Fortress Subscription and Purchase Agreement; and (C) APEN AG shall have the right to request Drawbridge Special Opportunities Fund LP, subject to certain conditions, to sell to APEN AG all or part of the shares acquired under the Fortress Subscription Agreement. Entire group of companies ultimately managed and controlled by Fortress Investment Group LLC and in particular the following entities: Direct shareholder of APEN AG: Drawbridge Special Opportunities Fund LP, with registered seat at c/o The Corporation Trust Company, Corporation Trust Center, 1209 Orange Street, Wilmington, DE 19801, Delaware, USA Intermediate entities, indirectly holding or having control over voting rights in APEN AG: The general partner of Drawbridge Special Opportunities Fund LP is Drawbridge Special Opportunities GP LLC. The sole member of Drawbridge Special Opportunities GP LLC is Fortress Principal Investment Holdings IV LLC. The sole member of Fortress Principal Investment Holdings IV LLC is Fortress Operating Entity I LP. The general partner of Fortress Operating Entity I LP is FIG Corp. The sole shareholder of FIG Corp. is Fortress Investment Group LLC. All intermediate entities have their registered address at c/o The Corporation Trust Company, Corporation Trust Center, 1209 Orange Street Wilmington, DE 19801, Delaware, USA
