Shareholders Agreement dated 28 June 2013. On 28 June 2013, Venetos and Schmolz+Bickenbach GmbH & Co. KG as well as S+B KG's subsidiaries / affiliates Schmolz+Bickenbach Beteiligungs GmbH & Co. KG, Schmolz+Bickenbach Beteiligungs GmbH, Schmolz+Bickenbach Stahlcenter AG, Schmolz+Bickenbach Holding AG and Schmolz+Bickenbach Finanz AG (S+B KG together with these subsidiares / affiliates the "S+B KG Group") entered into a Shareholders Agreements ("SHA"). In the SHA, Venetos and S+B KG Group regulate their reciprocal rights an obligations regarding their participation in S+B AG, in particular also the constitution of the board of directors. Schmolz+Bickenbach GmbH & Co. KG holds its participation of 40.46% in SCHMOLZ+BICKENBACH AG indirectly as folIows: Schmolz+Bickenbach GmbH & Co. KG owns 100% in Schmolz+Bickenbach Beteiligungs GmbH & Co KG, Eupener Strasse 70, 40549 Düsseldorf, Germany. Schmolz+Bickenbach Beteiligungs GmbH & Co KG owns 100% in Schmolz+Bickenbach Beteiligungs GmbH, Düsseldorf, Eupener Strasse 70, 40549 Düsseldorf, Germany. Schmolz+Bickenbach Beteiligungs GmbH owns 100% in Schmolz+Bickenbach Stahlcenter AG, Wil, c/o Heinz Macchi, Obere Bahnhofstrasse 49, 9500 WiI, Switzerland, which in turn owns 100% in Schmolz+Bickenbach Holding AG, WiI, c/o Heinz Macchi, Obere Bahnhofstrasse 49, 9500 WiI, Switzerland as well as 100% in Schmolz+Bickenbach Finanz AG, WiI, c/o HeinzMacchi, Obere Bahnhofstrasse 49, 9500 WiI, Switzerland. Venetos Holding AG, Bleicherweg 33, Zürich, Switzerland ("Venetos"); Renova Industries Ud, 2nd Terrace West Centreville, P.O. Box N-7755 Nassau, Bahamas ("RIL"). Venetos is a 100% subsidiary of INDESTICOPLAZ TRADING L1MITED, Afentrikas 4, Afentrika Court, Office 2, P.C. 6018 Larnaca, Cyprus, which is a 100% subsidiary of RIL. RIL is a 90% subsidiary of Renova Holding Ltd., 2nd Terrace West Centreville, P.O. Box N7755, Nassau, Bahamas ("RHL"). The 100% shareholder of RHL is TZ Columbus Services Ltd., Pasea Estate, Road Town, Tortola, British Virgin Island as trustee of the Columbus Trust, a trust established under the laws of Cayman Islands, whose ultimate beneficiary is Mr. Vekselberg.
