Transocean Ltd

As a result of Transocean Ltd. forming a group of shareholders with certain funds controlled by Mr. Carl Icahn (the "Icahn Group") (by virtue of entering into the Standstill and Nomination Agreement with the Icahn Group, dated November 10, 2013), Transocean Ltd. is no longer required to make a disclosure of its shareholdings separate from that of the aforementioned shareholder group. Note: Transocean Ltd. continues to hold, directly and indirectly, through Transocean Inc., 13,223,308 registered shares of Transocean Ltd., representing 3.54% of Transocean Ltd.'s share capital and voting rights. Transocean Ltd. further continues to be the sponsor of the stock options, deferred units and share appreciation rights (SARs) (collectively the "Awards") outstanding under Transocean Ltd.'s share-based compensation plans (collectively the "Plans"). The underlying in relation to each Plan are regis-tered shares of Transocean Ltd. (either out of conditional share capital, authorized share capital or by delivery of treasury shares). Transocean Ltd. will, in accordance with an exemption granted by the SIX Disclosure Office, update its disclosure regarding sale positions pertaining to its Plans once a year on the date of the release of its quarterly results for the period ending March 31 in the event that an updated disclosure is required because one of the thresholds set forth in Article 20 SESTA has been triggered. The attached disclosure regarding sale positions pertaining to its Plans is dated as of October 31, 2013. Transocean Inc. is a direct, fully owned subsidiary of Transocean Ltd., the ultimate holding company of the Transocean group.
