On 18 February 2014, Fin Posillipo S.p.A. committed to subscribe up to 40'000'000 additional registered shares in THERAMetrics holding AG, in connection with the share capital increase of up to CHF 700'000 through issuance of up to 70'000'000 million registered shares in THERAMetrics holding AG out of the existing authorized share capital of THERAMetrics holding AG, to take place on or around 31 March 2014. On 9 December 2013, Fin Posillipo S.p.A. had already committed to subscribe up to 30'000'000 registered shares in THERAMetrics holding AG in connection with the capital increase described above. Fin Posillipo S.p.A. has an issued share capital of EUR 3'000'000, divided into 30'000 shares with a nominal value of EUR 100 each. The entire share capital is held by the group members set out in part 2. As of today, Fin Posillipo S.p.A. is directly holding 36.34% of the share capital of Pierrel S.p.A.. Pierrel S.p.A. is directly holding 58.5% and Fin Posillipo is directly holding 23.66% of the share capital in THERAMetrics holding AG. Pierrel S.p.A. is not controlled by Fin Posillipo S.p.A., and Pierrel S.p.A. is exercising its shareholding in THERAMetrics holding AG independently from Fin Posillipo S.p.A. 1.
