Conditions
In connection with the first listing of the Infracore SA shares on SIX Swiss Exchange (the IPO), MPT Switzerland Holdings S.à. r.l. (MPT), Aevis Victoria SA (Aevis) and Infracore SA have (i) agreed to a lock-up undertaking vis-à-vis the managers in the IPO for a period ending 180 calendar days after the IPO (i.e., until January 5, 2027) and (ii) entered into a shareholders' agreement with certain restrictions on transfer of interests, rights of first refusal, tag-along rights and drag-along rights, all for the benefits of MPT and Aevis. The shareholders' agreement does not extend to the own positions held by Infracore SA.
