ConditionsPurchase of registered shares at market price in
the amount of CHF 1'750 per month (the "Purchased
Shares") during a contribution period of 12 months
by an independent third party administrator under
an employee share participation plan. The
contribution period begins with the month of
October and the initial purchase of Purchased
Shares is made in November. Dividend payments, if
any, received on Purchased Shares during the three
years plan cycle period will be used to purchase
further registered shares (the "Dividend Shares").
At the end of a three year period after the
beginning of the contribution period (i.e. end of
September) or upon departure from the employee
share participation plan under certain
circumstances (e.g. death, regular or early
retirement) the participant will receive from the
issuer an additional number of shares equal to 30%
of the total number of Purchased and Dividend
Shares held by the participant at such time.
