PSUs represent the contingent right to receive a certain number of registered shares of PolyPeptide Group AG (PPGN; CH1110760852) in the future, provided that certain performance and other conditions are achieved. The (regular) vesting of (i) 30% of the granted PSUs is based on the cumulative revenue, (ii) 40% of the granted PSUs is based on the cumulative EBITDA, and (iii) 30% of the granted PSUs is based on Total Shareholder Return (TSR), in each case as achieved during the three-year performance period compared to pre-defined performance ranges with minimum, target and maximum (200%) performance goals, subject to an absolute value cap representing 500% of the original grant award. In the event of a change of control, PSUs immediately vest at target upon such change of control.

ConditionsEnd of the additional acceptance period (Nachfrist) of the public tender offer of Samsung Peptide AG: 30 October 2026. The settlement of the offer will constitute a change of control under the LTIP. This notification assumes that the PSUs will vest at target upon settlement of the offer. Subject to the settlement of the offer, the PSUs will be settled in cash, at a value per share to which the holder would be entitled under the PSUs equal to the offer price.
