Following a change in Swiss law reducing the threshold for disclosure of shareholdings from 5% to 3%,and in accordance with Art. 20 para.1 SESTA,Nestlé S.A., avenue Nestlé 55, CH-1800 Veveyand Zugerstrasse 8, CH-6330 Cham, announces that the Nestlé Group holds as on December 1, 2007 a total of 14900672 own registered shares corresponding to3.79% of the voting rights. The Nestlé Group companies holding the own shares include Nestlé S.A., Vevey and Cham, and Food Products (Holdings)S.A., Calle 69 O No 74D, Urbanización La Loma, Panama. In addition, Nestlé S.A. has issued (i)Warrants (Fixed Conversion Ratio: 31.9065 shares per warrant;Exercise Price: initially USD 261.119 (or CHF 455, based on a fixed exchange rate of CHF 1.7425 for each USD) per registered share of Nestlé S.A. growing by 2.625% per annum; Exercise Period / Exercise: (a) during the note exercise period until June 2008 by tendering a note and a warrant in exchange for Nestlé S.A. registered shares on the basis that one note is required to exercise each warrant; or (b) on the cash exercisedate, 11 June 2008, by tendering warrants togetherwith the exercise price in cash) in connection with a Turbo Zero Equity-Link issue issued by Nestlé Holdings, Inc., under which 54177 warrants are outstanding, which entitle to the acquisition of 1728647 registered shares of Nestlé S.A.; (ii) 2815098 Management Stock Options (Grant Date / Exercise Price: 01.03.2001 / CHF 343.20; 01.03.2002 / CHF 367.35; 01.02.2003 / CHF 278.55; 01.10.2003 / CHF 308.55; 01.02.2004 / CHF 329.10; 01.10.2004 / CHF 289.40; 01.02.2005 / CHF 309.20; 01.02.2006 / CHF 379.50; 01.02.2007 / CHF 445.00; Term: each option has a term of 7 years; Vesting: upon 3 years from the grant date; Exercise period:4 years from vesting date; Ratio: 1:1) outstanding, which entitle to the acquisition of 2815098 registered shares of Nestlé S.A.; and (iii) 1078813 Restricted Stock Units (Grant Date: 01.03.2005; 01.10.2005; 01.02. 2006; 01.10.2006; 01.02.2007; 01.10.2007; Vesting: upon 3 years from the grant date, delivery of Nestlé S.A.registered shares or the equivalent amount in cash; Ratio: 1:1) outstanding, which entitle to the acquisition of 1078813 registered shares of NestléS.A. All registered shares of Nestlé S.A. underlying the financial instruments mentioned in (i) to (iii) are included in the holding of own shares ofthe Nestlé Group indicated above. Should all under(i) to (iii) mentioned financial instruments be exercised, the holding in own shares of the NestléGroup would be reduced by 1.43% of the voting rights.
