Compagnie Financière Rupert

Compagnie Financière Rupert, a partnership limited by shares ('Kommanditaktiengesellschaft') of Rigistrasse 2, 6300 Zug, holds an interest of 5'220'000 'B' registered shares in Compagnie Financière Richemont AG ('the Compagny'). The shareholding represents 50% of the voting rights of the Compagnie. Compagnie Financière Rupert is under the management of Mr Johann P. Rupert, who is a partner with unlimited liability. Other partners with unlimited liability are Dr Anton E. Rupert, Mr Jacobus A. Rupert and Dr Edwin de la H. Hertzog, all of Stellenbosch, South Africa. An agreement exists between the shareholders of Compagnie Financière Rupert. The shareholder group comprises six companies which are beneficially owned by members of the Rupert, Hertzog and Hoogenhout families, by their close associates or by trusts. The beneficiares and the trustees of the trust are members of the Rupert and Hertzog families. In addition, an interest in Compagnie Financière Rupert is held by a fondation, which is also a party to the above-mentioned shareholders' agreement, established for the benefit of former employees of the group. In addition to the 5'220'000 'B' registered shares in the Company held by Compagnie Financière Rupert , members of the shareholder group hold a further 46'869 'A' shares in the Company. These represent 0.45% of the voting rights in the Company.
