USI Group Holdings AG

In October 2006 USIGH Limited issued CHF 15 million of convertible bonds and 42,505 warrants which convert into 85,587 and 42,505 shares of USI Group Holdings AG respectively. USI Group Holdings AG issued an option to USIGH Limited over 128,092 shares to enable it to meet its obligation to issue shares under the convertible bonds and warrants referred to above. USI Group Holdings AG has purchased 13,717 of its own shares which it holds in treasury. USIGH Limited is a wholly owned subsidiary of USI Group Holdings AG.
