FII Holdings, Inc. is a wholly owned subsidiary of Federated Investors, Inc., 1001 Liberty Avenue, Pittsburg, Pennsylvania 15222, United States. Federated Investors, Inc. has shares of both Class A Common Stock, no par value per share (the "Class A Common Stock") and Class B Common Stock, no par value per share (the "Class B Common Stock") issued and outstanding. The Class B Common Stock is listed on the New York Stock Exchange under the symbol "FII". Except under certain limited circumstances, the entire voting power of Federated Investors, Inc. is vested in the holder of the outstanding shares of the Class A Common Stock. All the outstanding shares of Class A Common Stock are held by a trust named Voting Share Irrevocable Trust,dated May 31, 1989 (the "Voting Trust"). The trustees of the Voting Trust are John F.
