mondoBIOTECH Holding AG

mondoBIOTECH holding AG is granted a conditional purchase right for up to a maximum number of 30'000'000 paid in and issued registered shares which are listed at SIX Swiss Exchange. The so granted purchase right may be exercised by mondoBIOTECH holding AG only after signing a binding agreement with an independent investor committing to purchase such shares, with whom negotiations are underway. After occurrence of the condition, mondoBIOTECH holding AG may exercise the purchase right during a period from 1st July 2012 until 31st July 2015, 12 p.m. by tranches always once a month to acquire up to a maximum number of 2'500'000 registered shares. (*) The equity securities shall be transferred at the latest 5 business days after each exercise of the Purchase Rights.
