Cancellation of former, reissuance of amended and paying-up of Tier 1 Buffer Capital Notes and thereby triggering the conditions for reporting under the recommendation of the disclosure office of 9 February 2011. Beneficial Owner is the immediate family of the late Suliman S. Olayan, being his children: Khaled Olayan, Al-Khobar, Saudi-Arabia; Lubna Olayan, Riyadh, Saudi Arabia; Hayat Olayan, Jeddah, Saudi Arabia; a trust for the benefit of his daughter Hutham Olayan (a Liechtenstein trust, Hutham Olayan is a resident of New York, New York, USA) and a trust for the benefit of his wife Mary P. Olayan (a Liechtenstein trust, Mary P. Olayan is a resident of Riyadh, Saudi Arabia) (the "Olayan Group"). The beneficial owners and the direct Investors are connected as follows: - Crescent Holding GmbH (direct Investor regarding the Shares and the short put options); - Competrol (Luxembourg) S.à.r.l. (owner of Crescent Holding GmbH), address: 2-8 Avenue Charles De Gaulle, L-1653 Luxembourg, Grand-Duchy of Luxembourg; - Competrol Establishment (owner of Competrol (Luxembourg) S.à.r.l.), address: Heiligkreuz 6, Vaduz, FL-9490 Furstentum Liechtenstein (direct investor regarding the Financial Instruments, except for the short put options); - Olayan Investments Company Establishment (owner of Competrol Establishment (Liechtenstein)), address: 111 Poseidonos Ave., Glyfada, Athens, Greece 166 10; - The Suliman S. Olayan Foundation Trust A Liechtenstein trust which owns Olayan Investments Company Establishment, address: Heiligkreuz 6, Vaduz, FL-9490, Furstentum Liechtenstein; - Olayan International Limited, A BVI limited liability company which is the sole beneficiary of the Suliman S. Olayan Foundation Trust, address: Craigmuir Chambers, PO Box 71, Road Town, Tortola, British Virgin Islands.
