Artisan Partners Limited Partnership

Artisan Partners Limited Partnership is controlled by its general partner, Artisan Investments GP LLC. The sole member of Artisan Investments GP LLC is Artisan Partners Holdings LP. Artisan Partners Holdings LP (APH) is controlled by its general partner Artisan Partner Asset Management Inc. (APAM). Artisan Investment Corporation (or AIC) is one of several limited partners of APH and also one of many stockholders of APAM. AIC and certain other stockholders of APAM have entered into a Stockholders Agreement. Collectively, the stockholders subject to the Stockholders Agreement currently control more than 81% of the voting stock of APAM. The stockholders who are subject to the Stockholders Agreement have granted an irrevocable proxy to vote their shares of APAM stock to a stockholders committee. The stockholders committee has three members, one of which was appointed by AIC pursuant to the terms of the Stockholders Agreement. The terms of the Stockholders Agreement specify that not only does AIC currently have the right to appoint a member to the committee, but for a one-year period, the AIC appointee to the stockholders committee has the right to determine how to vote all APAM shares subject to the Stockholders Agreement. As such, AIC has effectively retained control of APH by virtue of its right to determine how more than 80% of the voting stock of APAM, the new general partner of APH, will be voted. AIC has chosen to appoint Andrew A. Ziegler to the Stockholders Committee. AIC is wholly-owned by ZFIC Inc. 50% of the voting stock of ZFIC Inc. is owned by Andrew A. Ziegler, and the other 50% of the voting stock is owned by his wife, Carlene M. Ziegler.
