Sigmatrade Limited has acquired CHF 6,100,000 zero coupon mandatorily convertible Series B notes of USIGH Limited, a subsidiary of USI, which mandatorily convert at a conversion price which can be no lower than CHF 13.5 into up to 451,852 registered shares of USI subject to shareholder approvals, listing of the shares on the SIX Swiss Exchange and USI completing its asset acquistion transaction referred to in USI's press release dated 13 June 2013. The notes are unlisted, in registered form, are guaranteed by USI and are exchangeable back into the original obligations of the USI group for which they were isused, if not converted by 31 December 2013.
