FO Advisors LLC has purchased CHF 3,000,000 zero coupon mandatorily convertible Series A notes of USIGH Limited, a subsidiary of USI, which mandatorily convert at a conversion price of CHF 13.5 into 222,222 registered shares of USI subject to shareholder approvals and listing of the shares on the SIX Swiss Exchange. The notes are unlisted, in registered form, are guaranteed by USI and are repayable on 30 September 2015. FO Advisors LLC is a wholly owned subsidiary of FO-FM LLC of 4571 Stephen Circle, N.W., Suite 200, Canton, OHIO 44718, United States of America ( FOFM ). FOFM is a company in which Todd Lensman owns 65% and Henry S Belden IV owns 35%.
